Terms of Service

These Terms of Service (the “Terms”) govern your use of Calcutta Country Club (the “Service”), operated by Overweight Holdings LLC (“we,” “us,” or “our”). By creating an account, paying a fee, or otherwise using the Service, you agree to these Terms.

1. What the Service is

Calcutta Country Club is software for organizing and running golf Calcutta auction pools: a live auction room, real-time standings synced to a public golf leaderboard, pot and payout calculations, and a post-auction recap. We provide the tools to run your pool and keep score.

We are a scorekeeper, not a sportsbook, and not a payment processor or escrow service. We never accept, hold, move, escrow, or pay out any prize money or entry contributions. See Settlement & prize money below.

2. Accounts and roles

• Commissioners (organizers) create an account with an email address and password to set up and run tournaments. You are responsible for keeping your credentials secure and for activity under your account.
• Bidders do not need an account. A bidder joins a team through a link the commissioner shares and provides only a display name. Bidders agree to these Terms by participating.

You must be old enough to form a binding contract in your jurisdiction to use the Service, and you are responsible for ensuring that organizing or participating in a Calcutta pool is lawful where you are.

3. Fees and plans

Pricing is described on our pricing page. In summary:

• Guest Pass — free. Run a complete live pool for up to four teams at no charge.
• Green Fee — $20.00 one time, per tournament. Unlocks unlimited teams and custom themes for a single event. A one-time charge; it does not auto-renew.
• Membership — $75.00 per year, auto-renewing. Unlocks paid features across all of your tournaments for the subscription term. See the auto-renewal terms below.

Payments are processed by Stripe. All amounts are in U.S. dollars. We may change our prices prospectively; changes do not affect a Green Fee already paid or the current term of an active Membership.

4. Membership auto-renewal

The Membership is a recurring annual subscription. When you subscribe, you authorize us, through Stripe, to automatically charge your payment method $75.00 each year on your billing anniversary, until you cancel. Each renewal continues your access for another one-year term.

• Cancel anytime, self-serve. You can cancel from your dashboard’s billing portal at any time. No phone call or email is required.
• Cancellation takes effect at period end. Cancelling stops future renewals; your Membership benefits continue until the end of the term you have already paid for.
• No refund of the current term. Cancelling does not refund the period you are in. See our Refund Policy.

5. Refunds

Refund eligibility for the one-time Green Fee and the annual Membership is described in our Refund Policy, which is incorporated into these Terms.

6. Settlement & prize money

This is the most important thing to understand about how money works in a pool run on Calcutta Country Club:

• Settlement happens off-platform, directly between players. The Service computes a “who owes who” ledger so the commissioner can settle up; it never collects, holds, or distributes the pot.
• The Service may generate pre-filled Venmo links to make settling convenient. These links are launched by the commissioner from their own device. Venmo is an independent third party governed by its own terms and privacy policy; your use of Venmo is between you and Venmo. We are not affiliated with, and do not control, Venmo.
• We take no cut of the pot and earn nothing from settlement. Our only charges are the platform fees described above.
• The ledger is informational. The commissioner is responsible for reconciling and for the accuracy of any amounts settled. We are not a party to, and are not liable for, any transaction or dispute between players, or for the accuracy of the computed ledger.

7. Acceptable use

You agree not to:

• use the Service for any unlawful gambling or in violation of any law applicable to you;
• attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its data;
• impersonate another person, or claim a team you are not authorized to claim; or
• upload content that is unlawful, infringing, or abusive.

8. Third-party services and data

The Service relies on third parties including Stripe (payments), our hosting and database providers, and publicly available golf scoring data for live standings. Scoring data is provided as-is and may be delayed, incomplete, or inaccurate; standings, projected payouts, and the settlement ledger are estimates for convenience and are not guarantees. 9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any score, payout, or ledger figure is accurate.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss related to prize money, settlement, or transactions between players. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Overweight Holdings LLC from claims arising out of your use of the Service, your pool, your settlement of the pot, or your violation of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated through the Service. Your continued use after a change takes effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California.
